End user license agreement
This is an agreement between You (the License Owner) and Nois Type Studio (the Licensor). By purchasing, downloading, installing or using the digital font software (hereafter “The Font”), you accept the terms of this agreement. If you do not accept the terms, you can not download, request or use any font of the Nois Type Studio catalog.
By agreeing to this agreement the License Owner receives a perpetual, non-exclusive, non-transferable license for the use of a font software subject to all terms and conditions of this agreement. This license may be revoked if any violation happens.
This Agreement comes into force and becomes binding on the date the License Owner pays the price for obtaining the rights to use the Font. The price for obtaining the rights to use the Font is reflected in the invoice provided by the Licensor.
This Font Software is licensed—not sold—to the License Owner by Nois Type Studio and is licensed for use in accordance with the terms of this Agreement. As a License Owner, your ownership of the media and/or device on which the Font Software is recorded, if any, is distinct from and does not grant any right, title or interest in and to the design of the Font Software itself. All copies of the Font Software downloaded or installed, including copies of any Font Software that accompany this document either as part of a downloaded file or on recorded media, such as, but not limited to, magnetic or optical media, remain the exclusive property of Nois Type Studio. The Font Software and the design of the Font embodied therein are the exclusive property of Nois Type Studio and are protected under both domestic and international copyright, trademark and unfair competition laws. The various names of the Font Software and the font included within the Font Software are the trademarks of Nois Type Studio. Except as stated herein, this Agreement does not grant the License Owner any rights to trademark or any other intellectual property rights in the Font Software or in any typeface design.
The License Owner may not distribute, sell, modify, rename, include, adapt, translate, reverse engineer, decompile, disassemble, translate into other font formats or other formats for use with other devices, or otherwise copy or include the Font Software without the express written consent of Nois Type Studio. Any modifications, derivations or adaptations of the Font Software requires the express permission of Nois Type Studio as applicable. Nois Type Studio expressly reserves the right to create any such modifications, derivations or adaptations.
Nois Type Studio retains the right to revoke Licenses from any License Owner if the Fonts are employed to propagate any discriminatory or intolerant behavior. Usage in political campaigns requires written consent and a custom license by Nois Type Studio. Please reach out to Nois Type Studio for authorization prior to license purchase. Violations of these terms may result in revocation of Licenses without refund of the license fee.
In the event of termination, all Font and back-up copies must be deleted; this act has to be proven and documented upon request by Nois Type Studio.
Trial license
Nois Type Studio Trial Fonts come with a limited character set, minimal or no OpenType features and limited support. You may use the fonts for evaluation and testing purposes, such as creating mock-ups and presentations to exhibit potential uses to clients, any other usage requires acquiring a paid commercial or personal license. For commercial purposes, purchasing the full version is required.
Technical considerations
Nois Type Studio cannot guarantee that the operation of the font will be error-free. If the License Owner does experience any difficulties with the Font, Nois Type Studio will look into the problem and do everything possible to work with the License Owner to resolve any issues.
All purchases are final, Nois Type Studio does not guarantee that the font files work perfectly on every platform, operating system, etc. The License Owner is using the font at their own risk.
Nois Type Studio cannot guarantee the performance or results that the License Owner can obtain using the font. It is the License Owner responsibility to ensure that the font are fit for their purposes.
Under no circumstances shall Nois Type Studio be held liable to the License Owner or any other party, whether in contract or grievance (including negligence) or otherwise, for any special, consequential, or incidental damages, including lost profits, lost savings, or business interruption arising from the use of the font software, even if notified in advance of such possibility.
Modifications and termination
Nois Type Studio reserves the right to amend or modify this Agreement without prior notice, in particular for technical developments that may render obsolete or incomplete any provisions herein.
Any breach of the terms and conditions of this agreement terminates the License Owner’s right to use the font. After any termination of the agreement the License Owner must destroy any copies of the font, including their archival copies.
